I need a U.S.-licensed attorney to complete a red-flag review of two short, related agreements for my game studio—an independent-contractor revenue-share contract and a stand-alone intellectual-property assignment—together totaling roughly 15 pages. Georgia law governs both documents and I must have your comments back no later than Sunday, 9 PM EST. Primary emphasis • Confirm that the transfer of ownership rights in the IP assignment will hold up and that all future work product is captured. • Assess whether the revenue-share contractor arrangement can be enforced in practice when the developer is located outside the United States, paying special attention to worker-classification risk. Additional points to cover – Strength of the arbitration clause for non-U.S. contractors. – Whether any foreign employment laws could override our independent-contractor designation. – GDPR and broader data-privacy implications of collecting identification documents for contractor verification. – Any other clauses that could expose the company to meaningful liability or impede enforcement. - Pay particular attention to whether the assignment language is broad enough to satisfy a game publisher's standard due diligence requirements. Deliverables 1. Mark-up or track-changes version of each agreement showing recommended edits. 2. Brief memo (bullet or paragraph form is fine) explaining the reasoning behind each flagged issue and prioritising critical versus nice-to-have fixes. Please treat all documents and information shared in connection with this engagement as confidential attorney-client communications. Please confirm the U.S. state(s) where you are admitted to practice, your malpractice coverage status, and that you can meet the Sunday evening deadline before you bid.

My name is Vansh and I am a U.S. licensed attorney with a strong background in contracts and intellectual property law, making me an ideal fit for this project.I have been involved in the preparation and review of over 1600 legal documents including employment, IP and revenue-sharing agreements. My experience as a Legal Consultant at a Tier 1 Law Firm has equipped me with a deep understanding of complex legal frameworks, an expertise I believe would be invaluable on this project. I am familiar with Georgia law which is key in ensuring the successful transfer of ownership rights in your IP assignment and that all future work is captured accordingly. One aspect that requires critical analysis is the worker-classification risk, particularly when dealing with international contractors. Considering my extensive background in employment law, I can easily identify potential vulnerabilities and suggest bulletproof solutions. Moreover, I understand the importance of delivering within tight deadlines without compromising on the quality and accuracy of work. Being promptly able to deliver you marked-up versions of both agreements along with a concise memo detailing each flagged issue isn't an issue. With over a decade of legal experience under my belt, I’m confident that I have the skills and knowledge necessary to effectively accomplish this project. Throughout my vast and varied career, I've consistently delivered thorough and reliable work in the areas of Contracts drafting, IP rights assignments, data privacy among others, all of which are key requirements for completing your task to the highest standard. Being an experienced employment lawyer, I'm also equipped to handle any worker-classification risks associated with the revenue-share contract. My extensive knowledge in both local and international laws provide me with an edge in identifying clauses that might pose a liability or hinder enforcement—an area of prime concern for your studio. Given today’s global gaming industry, the potential inclusion of non-U.S contractors accentuates the need for a well-thought-out arbitration clause. Worries about independent-contractor designation being challenged in light of foreign employment laws will also be keenly assessed. Deadlines are sacred and I appreciate the urgency required for your project. I possess excellent time management skills which will enable me to deliver on-time without compromising quality— a skill honed from years of wrestling legal deadlines. You can rest assured knowing that every document shared throughout our engagement will be treated with utmost confidentiality as would any attorney-client privilege material

Hello, I understand you need a thorough red-flag review of two Georgia-governed agreements: an independent-contractor revenue-share contract and an IP assignment, totaling ~15 pages. I will assess the enforceability of IP transfer, confirm that all future work product is captured, and evaluate practical enforceability for non-U.S. contractors, highlighting worker-classification and jurisdictional risks. I will also review arbitration clauses, potential conflicts with foreign employment laws, GDPR/data privacy concerns for contractor verification, and any clauses posing liability or enforcement challenges. Deliverables include marked-up agreements with track changes and a concise memo prioritizing critical versus optional edits, ensuring compliance with game-publisher due diligence expectations. Thanks, Asif

Hello, I reviewed your project and it aligns well with my experience in contract review, IP assignment structuring, and cross border contractor agreements. I have previously worked on similar matters involving revenue share models, intellectual property transfer clauses, and risk analysis for international contractor arrangements. Based on your project details, I can conduct a thorough red flag review of both agreements with focused attention on enforceability, ownership transfer strength, and classification risks. I will ensure the IP assignment language is broad, future proof, and aligned with publisher due diligence expectations, while also assessing the practical enforceability of the contractor structure across jurisdictions. I have reviewed and drafted over 500+ legal and quasi-legal documents, including IP agreements, contractor contracts, and compliance-focused reviews. I will also evaluate arbitration clauses, cross border employment risks, GDPR/data privacy considerations, and any provisions that may expose your studio to liability or weaken enforcement. You will receive track changes versions of both agreements along with a concise memo prioritizing critical issues and recommended fixes. I can provide a highly detailed and structured review to support your legal decision making. I am available immediately and can meet your Sunday 9 PM EST deadline.

Hi. Cross-border contractor agreements for game studios tend to run into two recurring problems: IP assignments that don’t fully capture future work product, and revenue-share structures that create unintended classification or enforcement risks—especially when the developer sits outside the U.S. I’ve reviewed similar setups where the assignment language needed to go beyond “present transfer” and clearly cover all derivative works, updates, and contributions tied to the project, so it stands up during publisher due diligence. I also look closely at whether the agreement properly bridges gaps between U.S. law and the contractor’s local jurisdiction—because that’s often where enforceability starts to weaken. On the contractor side, I’ll assess whether the revenue-share model creates exposure under worker-classification rules and whether the arbitration clause is realistically enforceable across borders. I’ll also flag any privacy or data-handling issues tied to contractor verification, particularly where GDPR or similar regimes could come into play. You’ll get a clean redline of both agreements along with a focused memo prioritizing what needs to be fixed now versus what can be refined later, so you can move forward without surprises. If timing is tight, I’m ready to jump in and turn this around quickly. Let’s connect so you can share the documents and I can get started right away. Thank you.
