Vice President for Legal Affairs(

Our New York-based start-up company is developing a social network in the financial field (online trading) that will aid in revolutionizing the brokerage-retail sector, and is looking for an individual who is somewhat familiar with the financial industry to lead all legal affairs.

Responsibilities


- help us ensure compliance with domestic law;


- develop and implement policies and guidelines for our services;


- monitor, summarize relevant legislation and ability to provide recommendations/proposals affecting legislation;


- possess the analytical ability to reason and make informed decisions;


- possess knowledge of the legislative process;


- draft contracts, corporate documents;


- assist with SEC and FINRA compliance;


- review marketing materials and other publications to ensure compliance


- assist with SEC Regulation D;


- establish information security policies, standards, and processes that are in compliance with industry standards such as SAS70

Experience


- substantial experience in contract negotiation preferred


- some degree of experience (or familiarity) in the financial industry preferred, particularly in financial advising/brokerage-retails/fund-raising


- a general understanding of SEC law preferred


- currently write or have recently written online about the stock market, or legal and compliance issues on your own blog or for a larger site is a big plus;

Skills


- must be detail-oriented and have excellent organizational and interpersonal skills;


- must be a self-starter, able to work in a fast-paced and challenging environment;


- must be able to work independently with minimal supervision;


- dependability and ability to adapt to change are essential;


- must be able to read, write and communicate in English;


- must be a strong communicator, comfortable with social media.

Education


- juris doctorate strongly preferred, though not required (will consider current law students)

Our start-up is currently in a "private beta version" and in the next few months we plan to find a Venture Capitalist to finance the second round of our Business Plan. Until now the resources that we have at our disposal have been limited, and for this reason, at the moment, we are offering a stock option in our company in exchange for services. If, due to some misfortune or our own incapacity, this does not occur within the agreed time period, collaboration will come to an end with a payment totaling $1,000, and nothing further will be requested from any share. Yet, if matters play out as we foresee, we offer this in addition to the stock-option:

- A competitive base salary

- Discretionary bonus, based on individual, group, and Company performance.

Until we have found the Venture Capitalist, collaboration will take place online, using our SW platform for collaborative work; the subsequent work base will be in New York. Online activity will unfold in compliance with asynchronous procedures, meaning without any obligation of schedules or subordination, but only with a view to producing results. For this reason, and given the offered pay, we believe that in this first phase, collaboration can be compatible with other primary activities that are not in competition with ours.
